Terms and Conditions for Advanced Comfort Solutions

Effective Date: 4/1/2025

1. Introduction

These Terms and Conditions ("Terms") govern the relationship between Advanced Comfort Solutions ("Company," "we," "us," or "our") and the customer ("Customer," "you," or "your"). By engaging in services provided by Advanced Comfort Solutions, you agree to comply with and be bound by these Terms.

2. Services

Advanced Comfort Solutions specializes in providing high-quality heating, ventilation, air conditioning, and comfort solutions (the "Services") as outlined in the service agreement. The scope of services provided will be described in the specific agreement or work order issued to the Customer.

3. Payment Terms

3.1 Due Upon Completion
Payment for services provided by Advanced Comfort Solutions is due upon completion of the work. "Completion" is defined as when the project, as described in the work order or service agreement, has been finished and the customer has been notified that the services are complete.

3.2 Payment Method
Payments are to be made via the agreed-upon payment method, as specified in the service agreement. Acceptable methods of payment may include, but are not limited to, checks, credit card, or electronic transfer.

3.3 Late Payments
If payment is not received upon completion, the Company reserves the right to charge a late fee of 1.5% per month on the outstanding balance. The Company may also suspend or delay any future services or projects until payment is received in full.

3.4 Refunds
No refunds will be issued once the work has been completed and the Customer has accepted the services.

4. Customer Responsibilities

4.1 Access to Premises
The Customer agrees to provide Advanced Comfort Solutions with access to the premises as required to perform the Services. If access is not granted, the Company may not be able to fulfill the agreed-upon services.

4.2 Approval of Work
The Customer must approve the work before it commences and at various stages, as necessary. If there are any concerns or issues, they should be raised promptly to avoid delays or additional costs.

5. Warranties and Liabilities

5.1 Service Warranty
Advanced Comfort Solutions warrants that all services provided will be performed in a professional and workmanlike manner. If any issues arise due to improper workmanship, the Company will correct them at no additional cost to the Customer, provided that the Customer notifies the Company within 1 year from the completion date.

5.2 No Warranty on Third-Party Products
The Company does not provide warranties on any products or materials supplied by third-party manufacturers. Any warranties for these products will be governed by the terms of the manufacturer.

5.3 Limitation of Liability
The Company is not liable for any damages arising from delays, faulty parts, and/or any other cause beyond its control. In no event shall the Company's liability exceed the total amount paid by the Customer for the services provided under the agreement.

6. Termination

6.1 Termination by the Customer
The Customer may terminate the service agreement at any time prior to the commencement of services. If the Customer terminates after work has started, the Customer will be liable for payment for the work completed up until the point of termination and payment shall be due immediately upon Customer being provided an Invoice for work that was completed. All other terms of payment as set out herein shall apply if the Customer terminates after work has started.

6.2 Termination by the Company
The Company reserves the right to terminate the agreement if the Customer fails to fulfill payment obligations or if the Customer breaches any other terms of the agreement.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of The State of Tennessee, without regard to its conflict of laws principles.

8. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the Customer and the Company agree to attempt to resolve the matter through informal negotiation. If the dispute cannot be resolved informally, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association.

9. Entire Agreement

These Terms, together with any specific service agreement, work order, or addendum, constitute the entire agreement between Advanced Comfort Solutions and the Customer. Any changes or amendments to these Terms must be in writing and signed by both parties.
